I tested the ram out in another machine, it's working perfect. The system runs w/o issues without an agp card so I don't think it's the cpu or the memory. I still suspect the board and the video card on the hardware side, if it even is a hardware problem.
I've used both AMD and Intel systems for years, with AMD i've had a 386-dx 40, 486 dx-66, k6 233, athlon 800, athlon 1ghz, and an athlon 2200+ xp. This is the first such problem i've had with AMD.

But Compus... you've yet to mention anything about the Via 4-in1 drivers.

That's next on my list to try, but trying things is not a quick process because the OS gets corrupted every time i try and install the geforce drivers because the system locks during configuration. I have to reinstall windows xp each time. I'm thinking about just installing win xp on a hard drive and imaging it every time i try, but i haven't gotten around to it yet.

Install order should be:
Win XP
Via 4-in-1 drivers
Video Drivers
DirectX

I went through crap like that for a few months on my last computer. Had a Gigabyte GA7VRXP board, and Via chipset, tried all different versions of drivers and 4-in-1 and stuff. Replaced memory and eventually decided it was worth the 100 bucks to stop the aggravation and just bought a new MB. Got a new Asus A7N8X with the Nforce chipset and the thing has run great ever since.
Over the course of a couple weeks I must have reinstalled XP a dozen times, as it kept getting corrupted or something and would refuse to let me install or change drivers. I figure the money I spent on the new MB was well worth it in the aggravation I saved, just wish I had complained during the warranty and sent back the original one for a refund.

VIA chipsets are/were notorious for conflicts with GeForce cards. I'm sure there's a stable version of drivers out there and tons of people get it working right eventually, but it's usually after 3 weeks of phone tag with customer service and hours and hours of quality google time looking for your specific hardware/software conflicts. They should include a 'purchase at your own risk' disclaimer whenever someone tries to add the combination of the two to their shopping cart at any online retailer.
